简介：摘要：[目的/意义]私募股权基金从美国引入中国后,私募股权基金在中国资本市场发展迅速。而实践中近期出现私募股权基金爆雷和处罚的新闻，揭示了基金管理人道德风险是私募股权基金本土化发展的重大隐患。如何规范私募股权基金管理人的道德风险厘清其义务，成为法学界经久不衰的热门议题。相关的文献也应进行新的更新和梳理成为综述，有利于规划私募股权基金未来的研究。[方法/过程]梳理国内外不同学者观点，发现他们的理论基础可分为“契约理论”、“信号理论”以及“信义义务理论”三类，相对应“内部治理方向”再到“市场治理方向”。[结果/结论]文章认为在私募股权基金领域，针对管理人这类具有专业性的信义义务主体、行为以及救济方面都需要进一步科学分析。
